These Terms of Service ("Terms") govern your access to and use of Combat Matrix websites, applications, services, and related features operated by Combat Matrix Inc. ("Combat Matrix," "we," "us," or "our").
Combat Matrix was established in 2021. By creating an account or using Combat Matrix, you agree to these Terms.
1. Eligibility and Accounts
You may use Combat Matrix only if you are legally permitted to do so in your jurisdiction and can comply with these Terms.
Where applicable, younger users must have any consent or involvement required from a parent or legal guardian.
You are responsible for the accuracy of information you provide and for maintaining the security of your account, password, devices, and sign-in methods.
You may not impersonate another person, misrepresent your gym role, create accounts for fraudulent purposes, or allow unauthorized use of your account.
2. The Combat Matrix Platform
Combat Matrix provides tools for combat-sports gyms, coaches, creators, athletes, students, members, and fans.
Features may include gym profiles, memberships, subscriptions, posts, media, comments, messaging, invitations, paid content, gym vaults, notifications, sharing, referral analytics, and related services.
Features may change, be improved, be removed, or become subject to additional terms as Combat Matrix develops.
3. Gym Memberships and Roles
Combat Matrix may allow users to be associated with gyms as owners, administrators, coaches, members, subscribers, or other supported roles.
A free gym membership is different from a paid subscription. Joining a gym does not automatically provide access to subscriber-only or separately paid content.
Gym owners and administrators are responsible for managing their personnel, permissions, membership settings, content, communications, and business activity on Combat Matrix.
Combat Matrix may provide technical tools for gym management but is not a party to independent agreements between a gym and its members, coaches, contractors, or customers unless expressly stated.
4. Subscriptions and Paid Content
Combat Matrix may allow gyms or creators to offer subscriptions, paid messages, locked media, and other paid digital content.
Prices, billing frequency, and the content or benefits included with a purchase should be displayed before payment.
Payments may be processed by third-party payment providers such as Stripe. You agree to provide accurate payment information and comply with the payment provider's applicable terms.
Refund eligibility may depend on the transaction, the applicable gym or creator offering, Combat Matrix policies, payment-provider rules, and applicable law.
You may not use chargebacks, payment disputes, or other payment mechanisms fraudulently or to obtain content or services without paying for them.
5. User Content
You retain ownership of content you create and upload to Combat Matrix, subject to the rights needed for Combat Matrix to operate the service.
By submitting content, you grant Combat Matrix Inc. a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, transmit, format, and otherwise use that content as reasonably necessary to operate, secure, improve, promote, and provide Combat Matrix.
This license does not give Combat Matrix ownership of your underlying intellectual property.
You represent that you have the rights and permissions necessary to upload, publish, sell, or share the content you provide.
6. Acceptable Use
You may not use Combat Matrix to:
- Violate applicable law or the rights of another person.
- Commit fraud, scams, theft, or payment abuse.
- Harass, threaten, stalk, or unlawfully intimidate others.
- Upload malicious software or attempt unauthorized access.
- Circumvent subscriptions, locked-content controls, security systems, or access restrictions.
- Scrape, copy, or systematically extract Combat Matrix data without authorization.
- Publish content you do not have the legal right to use or distribute.
- Use Combat Matrix for sexual exploitation, illegal sexual content, or other unlawful or abusive content.
- Misuse combat-sports content to promote unlawful real-world violence or credible threats.
Combat-sports training, competition, technique, commentary, and related sporting content are permitted subject to these Terms and applicable law.
7. Messaging and Communications
Combat Matrix may provide direct messaging and gym inbox features. Users are responsible for their communications and must use messaging tools lawfully and respectfully.
Combat Matrix may process or review communications when reasonably necessary to provide the service, investigate reports, enforce these Terms, protect users, prevent fraud, or comply with law.
8. Sharing and Referrals
Combat Matrix may allow users to share attributed gym links or other links. Eligible referrals may be associated with the user who shared the link and may contribute to referral, signup, membership, and conversion analytics.
Referral attribution does not create ownership of another user, guarantee payment, or create a commission unless Combat Matrix has separately agreed to a compensation program in writing.
9. Combat Sports and Training Disclaimer
Combat sports, martial arts, exercise, conditioning, sparring, and competition involve inherent risks of injury.
Content available through Combat Matrix is provided for general informational, educational, or entertainment purposes and is not a substitute for qualified in-person instruction, medical advice, or professional evaluation.
You are responsible for deciding whether and how to participate in training and should use appropriate coaching, safety equipment, rules, supervision, and medical guidance.
10. Third-Party Services
Combat Matrix relies on third-party providers for services such as authentication, hosting, payments, video delivery, email, anti-abuse protection, and infrastructure.
Your use of certain features may also be subject to the applicable terms and policies of providers such as Google, Supabase, Stripe, Vimeo, Cloudflare, and other service providers.
11. Moderation, Suspension, and Termination
Combat Matrix may restrict, suspend, remove, or terminate accounts, content, features, gym access, or platform access when reasonably necessary to protect the platform, enforce these Terms, address security or payment concerns, respond to legal obligations, or prevent abuse.
Serious or repeated violations may result in permanent removal from Combat Matrix.
12. Intellectual Property
Except for user content and third-party materials, Combat Matrix software, interfaces, designs, systems, documentation, branding, and other platform materials are owned by or licensed to Combat Matrix Inc. and are protected by applicable intellectual-property laws.
These Terms do not grant you a license to copy, reproduce, distribute, modify, sell, reverse engineer, or commercially exploit Combat Matrix technology or proprietary materials except as expressly permitted by law or written authorization.
13. Combat Matrix Trademarks
Combat Matrix™, the Combat Matrix name, the CM meatball logo™, and associated brand elements are trademarks and proprietary brand assets of Combat Matrix Inc.
You may not use Combat Matrix branding in a way that suggests endorsement, sponsorship, affiliation, ownership, or authorization without written permission from Combat Matrix Inc.
14. Disclaimers
To the maximum extent permitted by applicable law, Combat Matrix is provided on an "as is" and "as available" basis.
Combat Matrix Inc. does not guarantee that every feature will always be available, uninterrupted, error-free, or free from third-party service interruptions.
Combat Matrix does not guarantee the accuracy, quality, safety, legality, or fitness of content, advice, services, gyms, coaches, or users made available through the platform.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Combat Matrix Inc. and its officers, directors, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of Combat Matrix.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
16. Indemnification
To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, and reasonable expenses arising from your unlawful use of Combat Matrix, your content, your violation of these Terms, or your violation of another person's rights.
17. Changes to These Terms
Combat Matrix may update these Terms as the platform changes. We will update the "Last updated" date and provide additional notice when required by applicable law.
Continued use of Combat Matrix after revised Terms become effective constitutes acceptance to the extent permitted by law.
18. General Terms
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
Failure by Combat Matrix Inc. to enforce a provision does not waive our right to enforce it later.
These Terms and any additional terms presented for specific Combat Matrix services form the agreement between you and Combat Matrix Inc. regarding use of the platform.
